Corporate governance

Corporate governance describes how Swiss Post is managed and controlled. It governs the roles of the owner, Board of Directors and Executive Management and supports the highest governing bodies in their tasks. This is how we promote transparent, honest and responsible management.

Management and role

Swiss Post is a company limited by shares subject to a special statutory regime solely owned by the Confederation. The Confederation guides Swiss Post by means of strategic goals, the Board of Directors ensures their implementation and Executive Management takes care of operational management.

The Board of Directors and Executive Management

The Board of Directors ensures that Swiss Post's strategic goals are implemented. It represents the Group vis-à-vis the owner and ensures that Swiss Post is managed in a consistent manner. It reports to the Federal Council on goal attainment and is responsible for ensuring that the universal service obligation and the tasks assigned to it under the Swiss Code of Obligations are fulfilled.

Responsibility in competition

Swiss Post and its subsidiaries comply with the rules of free competition, e.g. the Cartel Act and the Federal Act on Unfair Competition (UCA). At the same time, Swiss Post fulfils its statutory universal service obligation. Competitive services are generally subject to the same rules as those which apply to private providers – statutory exceptions reserved.
